Carpet Values Wholesale Account Program - FULL DETAILS

• Wholesale Accounts can purchase all products sold by Carpet Values, during the active account period, at invoice price + freight.

• There are no product quantity limits, quotas, or exclusions. Wholesale Accounts can purchase as much or as little flooring during their valid Wholesale Account period as they wish. All products Carpet Values carries are included in the Wholesale Program.

• There are no restrictions on what you do with your merchandise. You are free to use it in your own projects or to retail it at a profit to your own customers.

• Wholesale Accounts's purchasing power is equal to any retail store. You are buying at the same prices the retail flooring stores pay. Many franchise stores (CarpetOne, Flooring America, etc) pay well over $50,000 for the product access and pricing that you get for only $150 a month. With samples and deck-boards available for purchase, a Wholesale Account is ideal for all interior designers, contractors, remodelers, and flooring installers.

• Lowest possible price guarantee. Flooring prices constantly fluctuate, and Carpet Values guarantees to aggressively negotiate with every manufacturer for the best price possible for the Wholesale Accounts.

• NO-RISK 100% Satisfaction Guarantee. If as an Wholesale Account holder you are dissatisfied for any reason, Carpet Values will revalue your purchases within the program back to retail prices. If “retail equivalent” of your purchases are less than your Account Dues we will gladly refund the difference back to you. Carpet Values will be happy to continue doing future business with you as a retail customer.

• Financing is available. Carpet Values will set up lines of credit through CITI Financial or other participating banks for Wholesale Account holders with approved credit. Wholesale Accounts with approved credit can take advantage of a “6 month same as cash” delayed payment financing on all wholesale purchases as well as the ability to finance the entire amount of the account dues.

• Special requests welcome. Carpet Values will work with Wholesale Accounts to get any product an account holder is wanting even if it is a product Carpet Values doesn't normally stock. If we can get the product, you can buy it wholesale.

• Associate wholesale sub-accounts available. For a limited time, Wholesale Account holders can add up to three family and friends as “associate sub-accounts” underneath their Wholesale Account. Associate sub-accounts have the purchasing privileges of the full Wholesale Account. With greatly discounted dues, an associate sub-account makes a fantastic gift!!!

• Why is Carpet Values doing this? By catering this new Wholesale Account Program to large buyers and end users, Carpet Values looks to dramatically increase our total sales volume. This increase in product volume will allow Carpet Values to negotiate even lower prices with every manufacturer. Carpet Values will continue its retail operations for the ordinary buying public, and these lower product costs will allow Carpet Values to make higher profits without raising retail prices. And of course, as we negotiate better pricing it will be reflected in the wholesale price you pay!

• Account dues into the Wholesale Account Program are currently $1800 per year.
  (only $150 per month)

• Associate sub-account dues are currently $675 per year.
  

• Wholesale Accounts and Associate sub-accounts are purchased in one year increments.

• One year minimum term is required for all Wholesale Accounts and Associate sub-accounts. Account holders can pre-pay multiple years to avoid future increases in dues.

• Account dues must be paid in full prior to any wholesale purchases.

• Account dues are eligible for financing.

• Account dues are non-cancelable and non-refundable.

• Only the person approved as a Wholesale Account may purchase at Carpet Values Wholesale prices. ABSOLUTELY no friends, neighbors, or relatives may use someone else's Wholesale Account.

• All purchase payment must be made by the Wholesale Account holder.

• All wholesale purchases on merchandise Carpet Values does not regularly stock are final sales. All special orders are non-cancelable, non-returnable, non-refundable.

• Only new purchases made after customer becomes a Wholesale Account are eligible for wholesale pricing. Any previously purchased merchandise, even if it has not yet been picked up, is not eligible for wholesale pricing.

• Purchasing through the Wholesale Program excludes any other specials or promotions from also being added to the order. This restriction includes all past special offers (such as CV Bucks) and any future special promotions directed toward Carpet Values retail customers.

• There may be products that Carpet Values is not able to get from manufacturers. Some flooring products and some brand labels are exclusive to certain franchises. CV will do everything possible to get Wholesale Accounts the products they want.

• Account dues are not part of wholesale costs, paying dues give you access to purchase at wholesale cost.

• In describing wholesale cost as “invoice price + freight”:
  Invoice price means the printed cost price of that product on the latest manufacturer's invoice to Carpet Values. Any cash discounts, holdbacks, or special promotions from suppliers would be retained by Carpet Values. In a very few products, “cost” may include a small handling fee.

• In describing wholesale cost as “invoice price + freight”:
  Freight is calculated at current rate of flooring freight as charged by Carpet Shippers of Dalton Georgia, or equivalent freight carrier.

• On wholesale purchases of merchandise that must be newly ordered from a manufacturer, the wholesale cost would reflect the current manufacturer's product cost + freight, rather than the most recent invoice cost + freight.

• All Wholesale Accounts must pay Missouri sales tax unless Carpet Values is provided with a copy of their current Sales Tax Exemption Certificate.

• All standard terms and conditions of retail purchases applies to all wholesale purchases.  This includes but is not limited to:
• Carpet Values will make every effort to furnish you with exact totals based on the measurements you provide. Carpet Values is not responsible for miscalculations, incorrect measurements, pattern matches, or extra carpet your installer may need.
• Carpet Values sells materials only. Carpet Values does not sell installation. Carpet Values does not guarantee any installers work, labor price, nor does Carpet Values endorse any installer.
• Use of existing pad voids all manufacturer warranties. No warranties on closeouts, discontinued items, or remnants.
• Carpet Values is not responsible for purchases remaining in our warehouse over 180 days.
• No refunds without receipt. No refunds on purchases 180 days or older. No refunds on special order items. Restocking charges will apply to any returns or cancellations.

• Carpet Values has the right to refuse any Wholesale Account application for any reason.

• Wholesale Accounts are exclusive agreements between the approved account holders and Carpet Values. As such, Wholesale Accounts are non-transferable and not able to be re-sold.

• Carpet Values has the right to close a Wholesale Account for any policy violations. Account dues will not be refunded to account holders whose accounts are terminated.

• Wholesale Accounts are prohibited from giving information about specific wholesale prices to others. Anyone communicating, in any form, specific details about a product's wholesale pricing will have their Wholesale Account immediately terminated.

• Wholesale Accounts can in no way represent themselves as Carpet Values Distributing either to the general public or to manufacturers. Anyone representing themselves to the public or to a manufacturer as being “with” Carpet Values, an employee of Carpet Values, or an agent of Carpet Values, will have their Wholesale Account immediately terminated.

• Carpet Values will remain an “open to the public” retail flooring warehouse. Wholesale Accounts must not directly compete with or interfere in Carpet Values retail business. Any “retailing” in Carpet Values warehouse, done by Carpet Values salesmen, will belong to Carpet Values. At no time can a customer's retail sale be canceled so that it can be re-purchased by a Wholesale Account. Any Wholesale Account who urges a retail customer of Carpet Values to cancel an order for the purpose of reselling that customer themselves, will have their Wholesale Account immediately terminated.

• As a Wholesale Account, you are welcome to bring in your customers and have them present during your wholesale purchases. Carpet Values salesmen will be happy to assist wholesale accounts, but not for making retail sales to your customers. Carpet Values will absolutely not holdback or overbill a retail customer for a wholesale account.

• Associate sub-accounts are provided as a benefit to Wholesale Account holders who wish to extend the purchasing power of a Wholesale Account to their friends or family at a discounted rate.

• There are only three Associate sub-accounts allowed per standard Wholesale Account.
  
• Any sub-accounts must be signed up within 10 days of the starting of the standard Wholesale Account.

• Associate sub-accounts are irrevocably linked to their Wholesale Account. They cannot be canceled or extended independent of the original Wholesale Account.

• When a Wholesale Account expires or is canceled, all Associate sub-accounts under that Wholesale Account are immediately terminated.

• Associate sub-accounts are bound to all terms and conditions the same as a standard Wholesale Account.

• Wholesale Accounts should be aware that policy violations by their Associate sub-accounts can cause their entire Wholesale Account to be terminated. It is up to the Wholesale Account holder to make sure Associate sub-accounts don't jeopardize their own account status.

• The Wholesale Account Program was last revised on 07-19-08.
  
• Changes in Wholesale Account Program policies, procedures, and terms and conditions, go into immediate effect for all current Wholesale Accounts as well as new Wholesale Accounts. A current list of all policies, procedures, and terms & conditions will be posted on Carpet Values Distributing's website.
